Invoice Without a Tax Identification Number (NIP) – When Can It Be Issued and Under What Rules?

An invoice without a NIP number may be issued when the purchaser is not registered for VAT in Poland or does not make the purchase as a taxable person. This primarily applies to private individuals who do not carry out business activities – in such a case, the document is a fully valid accounting document, provided that it states the buyer’s first name, surname and address. When is an invoice without a NIP number valid?

The validity of an invoice without a NIP number is determined by Article 106e(1) of the VAT Act, which requires the identification number of the purchaser to be provided only when the buyer is registered for VAT in Poland. The requirement therefore applies to a purchaser registered as an active or VAT-exempt taxable person who makes the purchase in connection with business activity.

A private individual purchasing for their own use does not act in such a capacity. An invoice issued to a private individual without a NIP number meets the formal requirements if it makes it possible to identify the purchaser – the validity of the document is determined by the purchaser’s status, rather than by an empty field for the identification number.

An invoice issued in the purchaser’s name without a NIP number identifies the purchaser by their first name, surname and address instead of an identification number. The term itself does not appear in the legislation – it is a commonly used term rather than a separate type of document. The absence of the purchaser’s identification number does not exempt the seller from completing the other required fields of the document.

The document must contain:

  • the date of issue and the sequential invoice number,
  • the seller’s details – name, address and NIP number,
  • the purchaser’s first name and surname or name, together with their address,
  • the name of the goods or services, as well as the unit of measure and quantity,
  • the unit price, net sales value, VAT rate, VAT amount and total gross amount due.

For VAT-exempt sales, the legal basis for the exemption must be indicated. The seller’s NIP number remains mandatory in all cases.

Invoice issued to a private individual without a NIP number – when is it mandatory?

The seller must issue an invoice to a private individual in two situations – when the seller is exempt from the obligation to use a fiscal cash register and documents all sales with invoices, or when the customer requests one. The deadline for making such a request is 3 months from the end of the month in which the goods were delivered, the service was performed or payment was made.

If the request is made in the month of delivery, the invoice must be issued by the 15th day of the following month, while if the request is made later, it must be issued within 15 days. After this deadline has passed, issuing the document becomes voluntary, meaning that the buyer loses the right to demand an invoice. Sales not documented by an invoice are recorded in the non-invoiced sales register in the form of a daily record.

Why does an invoice without a NIP number for a business result in the loss of the right to deduct VAT?

The absence of the purchaser’s NIP number in a business purchase deprives the business of the basis for deducting input VAT because the document does not identify a party to the transaction. The tax office may challenge the settlement, and the purchaser loses the right to include the expense as a tax-deductible cost. At the same time, the invoice remains an accounting document for the seller.

For a business purchase, the NIP number must already appear on the fiscal receipt – only such a document allows an invoice to be issued to a business. Issuing an invoice against a receipt without the number exposes the seller to VAT penalties, while an active VAT taxpayer marks it with the FP code in the JPK_V7 records section.

A missing company identification number is added by issuing a corrective invoice, but changing a private purchase into a business purchase after the sale is tax-risky. The purchaser’s status should therefore be established before the document is issued, and the B2B contractor’s identification number should be checked in the GUS database or in the VIES system.

Invoice from the United Kingdom without a NIP number – how should a foreign document be treated?

An invoice from the United Kingdom does not contain a NIP number because the NIP identifies a taxpayer only within the Polish tax system. A foreign contractor is not listed in the Polish VAT taxpayer register and will not provide an EU VAT number that can be verified in VIES.

The same principle applies on the sales side in international transactions – a consumer from another country also does not have a tax identification number. The assessment of the document begins with determining the tax system in which the issuer is registered.
